Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Roman Melnychuk, operating as Metagenly ("we," "us," or "our"), governing your use of the Metagenly platform at metagenly.io (the "Service"). Metagenly is operated by an individual and is not a registered legal entity.

By creating an account or using the Service, you confirm that you are at least 16 years of age and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

Metagenly is an AI-powered metadata generation platform designed for stock content contributors (photographers, videographers, illustrators). The Service allows you to:

  • Upload images and videos for AI-driven metadata generation.
  • Receive automatically generated titles, keywords, and Adobe Stock categories.
  • Group visually similar images and apply metadata across groups.
  • Export generated metadata as an Adobe Stock-compatible CSV file.

Important: Only a 250×250 pixel WebP preview is created and processed. Your original full-resolution files are never stored on our servers or transmitted to third parties.

3. User Accounts

3.1 Registration

You must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3.2 Account Security

You agree to notify us immediately at support@metagenly.io if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials.

4. Subscriptions and Billing

4.1 Plans

Metagenly offers free and paid subscription tiers. Paid plans provide higher monthly file-upload limits and may include additional features. Plan details and pricing are displayed on the Service.

4.2 Billing

All payments are processed by Paddle, which acts as our merchant of record. By subscribing to a paid plan, you agree to Paddle's terms of service and authorize Paddle to charge your payment method on a recurring basis.

4.3 Usage Limits

Each plan includes a monthly file-upload quota. Uploads are counted against your current billing cycle. If you exceed your limit, generation requests will be paused until the next cycle or until you upgrade.

4.4 Cancellation and Downgrades

You may cancel your subscription at any time through the Paddle customer portal. Upon cancellation, your account reverts to the free tier at the end of the current billing period. No refunds are issued for partial billing periods.

5. User Content and Intellectual Property

5.1 Your Content

You retain full ownership of all files you upload and all metadata you create or edit on Metagenly. We claim no intellectual property rights over your content.

5.2 License Grant to Us

By uploading files, you grant us a limited, non-exclusive, royalty-free license to create 250×250 pixel preview images and to process those previews through the OpenAI API solely for the purpose of generating metadata. This license terminates when you delete the file or your account.

5.3 AI-Generated Output

Metadata generated by the Service (titles, keywords, categories) is produced by AI and provided to you for your use. You are solely responsible for reviewing, editing, and verifying the accuracy and appropriateness of all generated metadata before submitting it to stock platforms or using it for any purpose.

5.4 Prohibited Content

You must not upload content that:

  • Violates any applicable law or regulation.
  • Infringes on any third party's intellectual property, privacy, or other rights.
  • Contains malware, viruses, or any harmful code.
  • Depicts illegal activity, child exploitation, or non-consensual intimate imagery.

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts engaged in prohibited use.

6. AI Processing and Third-Party Services

The Service uses the OpenAI API to generate metadata. By using the generation feature, you acknowledge that:

  • Your 250×250 pixel preview images are transmitted to OpenAI's servers for processing.
  • OpenAI processes data as our subprocessor and, per its API data usage policy, does not use API-submitted data to train its models.
  • AI-generated output may contain inaccuracies, and you are responsible for verifying all results.
  • We are not liable for the content, accuracy, or suitability of AI-generated metadata.

7. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Circumvent usage limits, authentication mechanisms, or security features.
  • Use automated scripts or bots to access the Service beyond its intended API or interface.
  • Resell, sublicense, or redistribute the Service or its output without authorization.
  • Interfere with the operation, availability, or integrity of the Service.

8. Service Availability and Modifications

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We are not liable for any downtime, modification, or discontinuation of the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that AI-generated metadata will be accurate, complete, suitable for any stock platform's requirements, or free from errors. You assume all risk associated with using the generated output.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Roman Melnychuk (operating as Metagenly) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars (USD $50), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Roman Melnychuk (operating as Metagenly) from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 5.1, 9, 10, 11, and 13 survive termination.

You may terminate your account at any time by contacting support@metagenly.io. See our Privacy Policy for details on what data is deleted upon account closure.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Ukraine.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
